  2. ENGINEER shall be paid $ 10.25 ( ten & 25/100 dollars) per hour
  3. for time spent on the job, plus parts.

  6. The ENGINEER shall act as the Chief Operator of the STATION under 
  7. the regulations of the Federal Communications Commission and 
  8. shall perform the services required .

  15. ENGINEER shall perform the following services for STATION in 
  16. addition to the duties required of the Chief Operator.

  22. The ENGINEER shall be paid a flat fee of $ 28,000.00 ( twenty
  23. eight thousand & no/100 dollars) for the services described
  24. herein, plus parts. 
  25.  
  26. Hours in excess of 28,000.00 daily, or after 10 PM or before 6 AM,
  27.  shall be compensated at a rate of 150% per cent of the regular 
  28. rate. 
  29.  
  30. Payment shall be due as follows: 
  31.  
  32. net 30 days from completion of work  
  33.  
  34. Interest at the rate of 1.5% per cent shall be due per month which
  35. any invoice is outstanding beyond the terms stated herein.

  38. The ENGINEER warranties that work performed shall meet Federal
  39. Communications Commission regulations and shall constitute good
  40. workmanship. 
  41.  
  42. ***NO WARRANTY is provided on parts, except for any warranty which
  43. may be provided by the manufacturer or distributor of the
  44. product.*** 
  45.  
  46. STATION grants to ENGINEER a mechanic's lien upon any and all
  47. equipment or other tangible goods entrusted to ENGINEER to secure
  48. the prompt payment of all sums due from the STATION to the
  49. ENGINEER. In addition, ENGINEER is granted a security interest in
  50. any equipment which charges related to the installation, sale,
  51. repair or maintenance of the same are due until the same are paid.

  53. In the event of a failure to pay when due, and upon fifteen (15)
  54. days written notice of an intention to do so, which the parties
  55. agree shall be considered reasonable notice, ENGINEER may offer
  56. for public or prior sale equipment subject to the lien granted
  57. herein. In the event that the proceeds of the sale are
  58. insufficient to pay the sums due, then the STATION shall be
  59. responsible to ENGINEER for any deficiency balance.

  61. STATION appoints ENGINEER as its attorney in fact to execute a
  62. financing statement or other notices or documents necessary or
  63. deemed necessary by STATION to perfect its lien provided for
  64. herein. 
  65.  
  66. STATION agrees to pay all costs of collection and reasonable
  67. attorneys fees incurred by ENGINEER in the collection of sums due
  68. hereunder.

  71. Any disputes related to or arising out of this agreement shall be
  72. resolved by binding arbitration, before a single arbiter, under
  73. the rules of the American Arbitration Association.
